RBC Estimation LLC
These Terms and Conditions govern your access to rbcestimation.com and your use of services offered by RBC Estimation LLC. By using the website, submitting a project, approving a proposal, or purchasing services, you agree to these Terms. If you do not agree, do not use the website or services.
1 Definitions
- Company means RBC Estimation LLC, also referred to as RBC Estimation, we, us, or our.
- Website means rbcestimation.com and any pages, forms, or features operated by the Company.
- Services means construction estimating, quantity takeoff, cost estimating, scheduling, drawing production, consulting, and related work that we agree in writing to provide.
- Client means the person or entity requesting or purchasing Services.
- Client Materials means plans, drawings, specifications, schedules, instructions, data, and other materials supplied by or for the Client.

2 Eligibility and Authority
You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Website or Services for a company or another person, you represent that you have authority to bind that entity to these Terms.
3 Website Use
You may use the Website only for lawful business purposes. You may not interfere with the Website, attempt to gain unauthorized access, introduce malicious code, scrape or copy Website content at scale, misrepresent your identity, or use the Website or Services to violate another person’s rights. A request submitted through the Website does not create an engagement until we confirm acceptance in writing.
4 Proposals and Service Orders
The scope, price, delivery schedule, assumptions, included revisions, and Deliverables for paid Services will be stated in a proposal, quote, invoice, statement of work, email confirmation, or other written service order. A service order becomes binding when the Client accepts it by signature, written approval, payment, or another acceptance method stated in that document.
If a service order conflicts with these Terms, the service order controls for that project. Any additional or different terms in a Client purchase order apply only if we accept them in writing.
5 Client Materials and Cooperation
The Client must provide complete, accurate, legible, and current Client Materials and promptly answer reasonable questions. The Client represents that it has the right to share Client Materials with us and authorize their use for the Services.
We may rely on Client Materials without independently verifying them. Missing, inconsistent, revised, or late information may affect accuracy, price, and delivery. When information is incomplete, we may pause the work, request clarification, or use reasonable assumptions that are identified in the Deliverables.
6 Nature and Limits of Estimates
Estimates and takeoffs are professional opinions prepared from the information available at the time. They are not bids from a contractor, guaranteed prices, purchase orders, or promises of actual project cost, quantity, duration, profitability, code compliance, or bid success.
Actual results may change because of market conditions, supplier quotations, labor availability, location, site conditions, taxes, permit requirements, design changes, contractor methods, waste, productivity, escalation, and other factors outside our control. Pricing databases and third-party sources may contain estimates, delays, or errors.
The Client remains responsible for reviewing the Deliverables, confirming quantities and prices, obtaining current vendor and subcontractor quotations, checking project requirements, and deciding whether and how to use the Deliverables before bidding, purchasing, contracting, or construction.
7 No Licensed Design or Construction Services
Unless a service order expressly states otherwise and the work is performed by a properly licensed professional, the Services do not include architectural, engineering, surveying, legal, accounting, safety, code-compliance, or construction services. Deliverables are not construction documents and do not replace review by the project’s licensed designers, contractors, or other qualified professionals.
8 Delivery Revisions and Scope Changes
Delivery dates are good-faith targets based on the agreed scope and timely receipt of Client Materials. We will notify the Client of a material delay when reasonably practical. We are not responsible for delays caused by missing information, Client changes, third-party systems, force majeure events, or circumstances beyond our reasonable control.
Included revisions, if any, are limited to the service order. Corrections to our work will be handled reasonably after prompt notice. Revised drawings, added trades, layout changes, new specifications, or other material scope changes may require a new fee and schedule. The Client should identify any requested correction or revision with enough detail for us to evaluate it.
9 Fees Payment and Taxes
Fees, deposits, payment timing, and accepted payment methods are stated in the applicable service order or invoice. The Client must pay undisputed amounts when due and is responsible for applicable taxes, bank charges, and approved third-party expenses. We may pause Services or withhold final Deliverables while an amount is overdue, subject to applicable law.
A payment dispute must identify the disputed charge and the reason for the dispute. The parties will work in good faith to resolve it while the Client pays any undisputed portion.
10 Deliverables and Permitted Use
Unless a service order says otherwise, after full payment the Client receives a non-exclusive, non-transferable license to use the final Deliverables for the specific project and purpose identified in the service order. The Client may share them with project owners, contractors, subcontractors, suppliers, lenders, and professional advisers as reasonably needed for that project.
The Client may not resell, publish, license, or reuse Deliverables for another project without our written permission. Drafts, working files, internal notes, templates, methods, databases, and tools are not Deliverables unless expressly listed in the service order.
11 Intellectual Property
The Client retains ownership of Client Materials. The Company retains ownership of the Website, its content, and all pre-existing or independently developed templates, methods, processes, know-how, databases, software, and tools. No rights are granted except those expressly stated in these Terms or a service order.
The Client may provide feedback about the Website or Services. We may use that feedback without restriction, provided we do not disclose the Client’s confidential information.
12 Confidentiality and Project Information
Each party will use reasonable care to protect non-public information received from the other party and will use it only for the Services and related administration. We may share project information with employees, contractors, technology providers, and professional advisers who need it for those purposes and are subject to appropriate confidentiality obligations.
Confidentiality does not apply to information that is public through no breach, already lawfully known, independently developed, rightfully received from another source, or required to be disclosed by law. The Client should not send sensitive personal, payment-card, health, or government-identification information unless we specifically request it through an approved method.
13 Privacy and Electronic Communications
Our Privacy Policy explains how we collect, use, and disclose personal information and is incorporated into these Terms. By contacting us or using the Services, you consent to receive project-related communications electronically. Marketing communications may be withdrawn using the method provided in the message, but operational communications may still be necessary to perform the Services.
14 Third Party Services and Links
The Website and Services may use or link to third-party websites, software, pricing sources, payment processors, cloud platforms, or other services. Third parties operate under their own terms and privacy policies. We do not control them and are not responsible for their availability, security, content, or acts, except to the extent applicable law provides otherwise.
15 Website and Service Disclaimers
To the fullest extent permitted by law, the Website and Services are provided as available and without warranties not expressly stated in an accepted service order. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Website will be uninterrupted, secure, or error-free, or that all information will be complete or current. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
16 Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunity, loss of data, or business interruption, arising from the Website, Services, or Deliverables, even if advised that such damages were possible.
To the fullest extent permitted by law, the Company’s total liability arising from a specific project or service order will not exceed the fees the Client paid to the Company for that project or service order. This limit does not apply where liability cannot lawfully be limited. The limitations in these Terms reflect the allocation of risk and apply regardless of the legal theory asserted.
17 Suspension and Termination
We may suspend or terminate access to the Website for misuse, security concerns, nonpayment, or a material breach of these Terms. Either party may end a service order as allowed by that service order or by written agreement. Termination does not affect accrued payment obligations or provisions that by their nature should survive, including confidentiality, intellectual property, disclaimers, limitations of liability, and dispute terms.
18 Governing Law and Disputes
Texas law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will give the other written notice describing the dispute and allow a reasonable opportunity to resolve it informally. Nothing in this section prevents either party from seeking urgent injunctive relief or using a remedy that cannot lawfully be waived.
19 General Terms
If any provision is unenforceable, it will be enforced to the maximum extent allowed and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. The Client may not assign a service order without our written consent, except as part of a merger or sale of substantially all relevant assets. We may assign these Terms in connection with a merger, reorganization, or sale of our business.
These Terms, the Privacy Policy, and each applicable service order form the entire agreement concerning their subject matter and replace prior discussions about that subject. Headings are for convenience only. The English version controls if a translated version conflicts with it.
20 Changes to These Terms
We may update these Terms by posting a revised version on the Website and changing the last updated date. Changes apply prospectively when posted unless a later effective date is stated. Material changes to an existing service order require the parties’ written agreement unless that service order provides otherwise. Continued use of the Website after revised Terms take effect means you accept the revised Terms.
